No-Refund, Final-Sale, Return, and Cancellation Policy

This No-Refund, Final-Sale, Return, and Cancellation Policy (“Policy”) applies to every purchase, payment, order, subscription, renewal, fee, product, service, training program, certification, digital resource, portal feature, and other transaction with Aquonyx LLC (“Aquonyx,” “Company,” “we,” “us,” or “our”).

This Policy applies to transactions completed through:

  • Aquonyx.com;
  • The Aquonyx dealer portal;
  • A payment link;
  • An invoice;
  • A recurring subscription;
  • A telephone order;
  • An electronic order form;
  • A purchase order accepted by Aquonyx;
  • A written agreement incorporating this Policy; or
  • Any other authorized Aquonyx sales channel.

By placing an order, submitting payment, enrolling in a subscription, or accepting an invoice or order confirmation, the purchaser (“Dealer,” “Customer,” “you,” or “your”) acknowledges and agrees to this Policy.

1. ALL SALES ARE FINAL

ALL SALES ARE FINAL.

Aquonyx does not offer voluntary refunds.

Except where applicable law expressly requires otherwise:

  • No purchase price will be refunded;
  • No deposit will be refunded;
  • No subscription payment will be refunded;
  • No shipping charge will be refunded;
  • No freight charge will be refunded;
  • No handling charge will be refunded;
  • No setup fee will be refunded;
  • No onboarding fee will be refunded;
  • No training or certification fee will be refunded;
  • No payment-processing charge will be refunded;
  • No expedited-processing fee will be refunded;
  • No custom-order payment will be refunded;
  • No special-order payment will be refunded;
  • No digital-product payment will be refunded;
  • No professional-service payment will be refunded;
  • No unused portion of a service will be refunded; and
  • No prorated refund will be provided.

This Policy applies regardless of whether the product has been opened, remains unopened, has been installed, remains uninstalled, has been used, remains unused, or is no longer needed.

2. NO BUYER’S REMORSE

Aquonyx does not provide refunds, returns, exchanges, or cancellations because the purchaser:

  • Changes their mind;
  • No longer wants the product or service;
  • Finds another supplier;
  • Finds a lower price;
  • Orders too much inventory;
  • Selects the wrong product;
  • Selects the wrong size;
  • Selects the wrong configuration;
  • Misunderstands a product description;
  • Fails to review specifications;
  • Fails to verify compatibility;
  • Fails to verify water conditions;
  • Fails to verify installation requirements;
  • Fails to obtain a permit;
  • Fails to obtain financing;
  • Experiences financial hardship;
  • Experiences staffing problems;
  • Experiences scheduling problems;
  • Experiences reduced customer demand;
  • Is dissatisfied with anticipated profitability;
  • Does not use a purchased service;
  • Does not access purchased training;
  • Does not complete a certification;
  • Does not use available portal features; or
  • Otherwise decides that the purchase is no longer desirable or beneficial.

3. DEALER CUSTOMER CANCELLATIONS

The Dealer’s transaction with Aquonyx is independent of any transaction between the Dealer and its own customer.

Aquonyx will not issue a refund, cancellation, return, exchange, or credit because:

  • The Dealer’s customer cancels;
  • The Dealer’s customer exercises a cancellation right against the Dealer;
  • The Dealer’s customer refuses installation;
  • The Dealer’s customer refuses delivery;
  • The Dealer’s customer fails to pay;
  • The Dealer’s customer files a dispute;
  • The Dealer’s customer obtains financing on different terms;
  • The Dealer’s customer is denied financing;
  • The Dealer loses the customer;
  • The Dealer misquotes the customer;
  • The Dealer schedules an installation incorrectly;
  • The Dealer purchases a product before obtaining final customer approval; or
  • The Dealer’s expected profit changes.

The Dealer assumes the commercial risk associated with ordering products before finalizing its own customer transaction.

4. NO RETURNS

Aquonyx does not accept returns for convenience.

Products may not be returned because they are:

  • Unwanted;
  • Unused;
  • Unopened;
  • Still in original packaging;
  • Overstocked;
  • Incorrectly ordered;
  • No longer needed;
  • Ordered for a customer who canceled;
  • Incompatible with a site due to inaccurate information supplied by the Dealer;
  • Unsuitable due to an incorrect Dealer recommendation; or
  • Available elsewhere at a different price.

Returning or attempting to return a product without Aquonyx’s express written authorization does not create a right to a refund, exchange, or credit.

Unauthorized returns may be:

  • Refused;
  • Returned to the sender at the sender’s expense;
  • Stored at the sender’s expense; or
  • Disposed of after legally required notice.

5. NONCANCELABLE ORDERS

Once an order has been submitted and payment has been authorized, the order is final and noncancelable except in Aquonyx’s sole written discretion.

Aquonyx may begin processing immediately after an order is submitted.

Processing may include:

  • Payment authorization;
  • Payment capture;
  • Fraud review;
  • Inventory allocation;
  • Supplier submission;
  • Manufacturer submission;
  • Product reservation;
  • Picking;
  • Packing;
  • Label preparation;
  • Freight scheduling;
  • Customization;
  • Configuration;
  • Account setup;
  • Subscription activation;
  • Training enrollment; or
  • Performance of services.

A purchaser has no right to cancel merely because the order has not yet shipped.

Aquonyx’s decision to consider or approve a cancellation in one instance does not create a continuing obligation to approve cancellations in the future.

6. AQUONYX CANCELLATION

Aquonyx may cancel or decline an order because of:

  • Product unavailability;
  • Pricing error;
  • Description error;
  • Suspected fraud;
  • Payment failure;
  • Credit concerns;
  • Supplier restrictions;
  • Manufacturer restrictions;
  • Export restrictions;
  • Legal restrictions;
  • Shipping limitations;
  • Dealer-account suspension;
  • Quantity limitations; or
  • Other legitimate business reasons.

If Aquonyx cancels an order before providing any product or service and Aquonyx has already collected payment for the canceled portion, Aquonyx will reverse or return only the amount legally attributable to the unfulfilled and canceled portion.

Such a reversal is not a voluntary refund and does not alter the final-sale nature of other transactions.

Aquonyx may instead offer an equivalent replacement product where commercially reasonable and accepted by the purchaser.

7. DEFECTIVE PRODUCTS

An alleged defect does not create an automatic right to a refund.

Defective-product claims are governed exclusively by:

  • The applicable written manufacturer warranty;
  • Any express written Aquonyx warranty;
  • The Aquonyx warranty-claim procedure; and
  • Any nonwaivable legal requirements.

Subject to the applicable warranty, Aquonyx or the manufacturer may elect to:

  • Diagnose the issue;
  • Provide troubleshooting;
  • Repair the product;
  • Provide a replacement component;
  • Replace the product;
  • Require return of the allegedly defective component;
  • Require additional testing; or
  • Deny the claim if warranty requirements are not satisfied.

REPAIR OR REPLACEMENT, AS DETERMINED UNDER THE APPLICABLE WARRANTY, IS THE EXCLUSIVE REMEDY FOR A DEFECTIVE PRODUCT. NO CASH REFUND WILL BE PROVIDED.

A product problem does not entitle the purchaser to withhold payment for unrelated products or transactions.

8. INCORRECT PRODUCT SHIPPED BY AQUONYX

If Aquonyx ships a product materially different from the product shown on the accepted order, the purchaser must notify Aquonyx in writing within three business days after delivery.

The purchaser must:

  • Stop using the product;
  • Not install the product;
  • Preserve all packaging;
  • Preserve all labels;
  • Provide photographs;
  • Provide the order number;
  • Provide the product model and serial number; and
  • Follow Aquonyx’s return or exchange instructions.

Aquonyx’s exclusive obligation will be, at its election, to:

  • Deliver the correct product;
  • Replace the incorrect product; or
  • Correct the order through another commercially reasonable method.

An incorrect shipment does not entitle the purchaser to a cash refund unless Aquonyx determines that replacement or correction is unavailable or applicable law requires otherwise.

9. SHIPPING DAMAGE

Shipping damage does not create an automatic right to a refund.

Visible damage must be:

  1. Noted on the carrier’s delivery receipt before acceptance;
  2. Photographed before unpacking where reasonably possible;
  3. Reported to Aquonyx within one business day after delivery; and
  4. Supported by all documentation reasonably requested by Aquonyx.

The purchaser must retain:

  • The product;
  • Original packaging;
  • Pallets;
  • Labels;
  • Delivery receipts;
  • Photographs; and
  • Damaged components

until Aquonyx or the carrier authorizes disposal.

Aquonyx or the carrier may elect to:

  • Repair the product;
  • Replace the damaged component;
  • Replace the product;
  • Arrange carrier inspection; or
  • Deny the claim if claim requirements were not satisfied.

No cash refund will be provided for shipping damage except where legally required.

10. REFUSED DELIVERY

Refusing delivery does not cancel an order and does not create a refund right.

If a purchaser refuses delivery, fails to accept delivery, provides an inaccurate address, or causes a shipment to be returned, the purchaser remains responsible for:

  • The full purchase price;
  • Original shipping;
  • Return shipping;
  • Redelivery charges;
  • Storage charges;
  • Address-correction charges;
  • Carrier charges;
  • Product damage;
  • Administrative costs; and
  • Any other resulting expense.

Aquonyx may require payment of these amounts before reshipping the product.

11. LOST OR DELAYED SHIPMENTS

A delayed shipment does not create a refund or cancellation right unless Aquonyx expressly guaranteed a delivery date in a writing signed by an authorized Aquonyx representative.

Delivery dates and transit times are estimates.

Aquonyx does not provide refunds because of:

  • Carrier delay;
  • Weather;
  • Natural disaster;
  • Freight congestion;
  • Supplier delay;
  • Manufacturer delay;
  • Inventory shortage;
  • Port delay;
  • Customs delay;
  • Labor disruption;
  • Government action;
  • Tariff disruption;
  • Incorrect delivery information;
  • Missed delivery;
  • Failure to schedule freight delivery; or
  • Other events outside Aquonyx’s reasonable control.

A shipment is not considered lost solely because tracking information is delayed or temporarily unavailable.

Aquonyx may assist with a carrier claim without assuming the carrier’s liability.

12. CUSTOM AND SPECIAL-ORDER PRODUCTS

Custom, configured, personalized, manufactured-to-order, special-order, and nonstock products are:

  • Final sale;
  • Noncancelable;
  • Nonreturnable;
  • Nonexchangeable; and
  • Nonrefundable.

This rule applies immediately after Aquonyx submits the order to the manufacturer, supplier, or production process.

Changes to a custom or special order may require:

  • A new order;
  • Additional charges;
  • Additional lead time; and
  • Written approval by Aquonyx.

13. INSTALLED OR ALTERED PRODUCTS

A product that has been installed, connected, programmed, assembled, filled, tested, used, modified, damaged, or altered is final and may not be returned.

Installation constitutes acceptance of the product’s:

  • Model;
  • Physical condition;
  • Visible components;
  • General configuration;
  • Apparent compatibility; and
  • Quantity,

except for a latent defect governed by an applicable warranty.

The purchaser must inspect the product before installation.

14. SUBSCRIPTIONS AND AUTOMATIC RENEWALS

Subscription and recurring-service payments are final and nonrefundable.

Subscriptions may automatically renew according to the terms disclosed at enrollment.

The subscriber may cancel future renewal by using the approved cancellation method before the next renewal charge.

Cancellation:

  • Stops future renewals after it becomes effective;
  • Does not refund the current billing period;
  • Does not produce a prorated refund;
  • Does not refund prior billing periods;
  • Does not refund unused time;
  • Does not refund unused features;
  • Does not refund unused credits;
  • Does not refund setup fees; and
  • Does not eliminate unpaid amounts already incurred.

The subscriber will ordinarily retain access through the end of the paid billing period unless the account is suspended or terminated for breach, fraud, nonpayment, security risk, or misuse.

Failure to use a subscription does not create a refund right.

15. FREE TRIALS AND PROMOTIONAL PERIODS

When Aquonyx offers a free trial or promotional period:

  • The applicable duration will be disclosed at enrollment;
  • A valid payment method may be required;
  • Paid billing may begin automatically when the trial ends;
  • The subscriber must cancel before the disclosed billing date to avoid the charge; and
  • Charges made after the disclosed trial or promotional period are nonrefundable.

The subscriber is responsible for tracking the trial or promotional expiration date.

16. DIGITAL PRODUCTS, SOFTWARE, DATA, AND PORTAL ACCESS

Purchases involving digital products, software access, downloadable content, reports, datasets, portal functions, templates, calculators, or other electronic materials are final and nonrefundable once:

  • Access is provided;
  • The account is activated;
  • The content is delivered;
  • A download becomes available;
  • The information is generated;
  • A report is created; or
  • Performance begins.

Technical problems must be reported to Aquonyx for support.

A technical problem does not create an automatic refund right.

Aquonyx may, at its election, restore access, correct the issue, or provide another reasonable technical remedy.

17. TRAINING AND CERTIFICATION

Training, onboarding, coaching, testing, and certification fees are final and nonrefundable once:

  • Access is issued;
  • Training is scheduled;
  • Materials are delivered;
  • A seat is reserved;
  • Instruction begins;
  • Testing begins; or
  • Administrative performance begins.

No refund will be issued because a participant:

  • Fails to attend;
  • Arrives late;
  • Does not complete training;
  • Fails an examination;
  • Loses access because of misconduct;
  • Does not obtain a government license;
  • Does not use the certification; or
  • Disagrees with the result.

18. SERVICES AND PROFESSIONAL WORK

Payments for setup, onboarding, implementation, consulting, customization, data preparation, account configuration, design, development, professional services, or other work are final and nonrefundable after Aquonyx begins performance.

A delay caused by the purchaser’s failure to provide information, access, decisions, approvals, or cooperation does not create a refund right.

19. DEPOSITS AND ADVANCE PAYMENTS

Deposits and advance payments are nonrefundable once Aquonyx:

  • Accepts the order;
  • Reserves inventory;
  • Commits resources;
  • Places a supplier order;
  • Schedules work;
  • Begins customization;
  • Begins performance; or
  • Incurs costs in reliance on the transaction.

A deposit may be applied to Aquonyx’s losses, expenses, and damages resulting from the purchaser’s attempted cancellation or breach, subject to applicable law.

The purchaser remains responsible for amounts exceeding the deposit where permitted by the parties’ agreement and applicable law.

20. CREDITS, COUPONS, POINTS, AND REBATES

Promotional credits, coupons, rebates, rewards, and points:

  • Are not cash;
  • Have no refundable cash value;
  • Are nontransferable unless expressly stated;
  • May be limited to qualifying purchases;
  • May expire where legally permitted;
  • May be revoked for fraud, abuse, mistake, or breach;
  • Cannot be redeemed for a cash refund; and
  • Cannot be used to obtain a refund of a prior transaction.

21. PRICING CHANGES

A price reduction, discount, promotion, or rebate offered after a purchase does not entitle the purchaser to:

  • A refund;
  • A price adjustment;
  • A retroactive discount;
  • Store credit;
  • Additional products; or
  • Reimbursement of the difference.

22. THIRD-PARTY FINANCING

Denial, cancellation, reversal, delay, or modification of third-party financing does not create a refund right against Aquonyx.

The purchaser is responsible for understanding financing terms before completing the purchase.

Aquonyx is not responsible for:

  • Financing approval;
  • Interest rates;
  • Loan terms;
  • Credit decisions;
  • Lender delays;
  • Lender fees; or
  • Disputes between the purchaser and lender.

23. UNAUTHORIZED OR DUPLICATE CHARGES

A purchaser who believes a charge is:

  • Duplicated;
  • Unauthorized;
  • Incorrectly calculated; or
  • Applied to the wrong account

must notify Aquonyx promptly and provide supporting information.

Aquonyx will investigate the charge.

If Aquonyx confirms that a payment was duplicated, unauthorized, or collected solely because of an Aquonyx processing error, Aquonyx may correct or reverse the erroneous amount.

Correction of a confirmed payment-processing error is not a voluntary refund and does not affect this Policy’s application to the underlying valid purchase.

24. PAYMENT DISPUTES AND CHARGEBACKS

A purchaser should contact Aquonyx at [INSERT BILLING EMAIL] before initiating a chargeback or payment dispute.

Filing a chargeback does not:

  • Cancel the underlying contract;
  • Establish that the charge was improper;
  • Eliminate a valid debt;
  • Create a refund right;
  • Cancel a shipment;
  • Cancel a subscription retroactively; or
  • Waive Aquonyx’s legal rights.

Aquonyx may submit evidence to the payment processor, card network, financial institution, or other reviewing entity, including:

  • Order confirmations;
  • Invoices;
  • Acceptance records;
  • Internet Protocol logs;
  • Account logs;
  • Payment authorizations;
  • Delivery records;
  • Carrier tracking;
  • Subscription records;
  • Communications;
  • Product information;
  • Warranty records;
  • Portal usage;
  • This Policy; and
  • Other relevant documentation.

Aquonyx may suspend the purchaser’s account while a payment dispute remains unresolved.

If a chargeback is decided in Aquonyx’s favor, the purchaser remains responsible for the valid charge and any lawful collection costs.

25. WARRANTIES ARE NOT REFUND GUARANTEES

A manufacturer or product warranty does not guarantee a cash refund.

Unless the applicable written warranty expressly states otherwise, warranty remedies are limited to:

  • Repair;
  • Replacement of a component;
  • Replacement of the product; or
  • Another remedy stated in the warranty.

Warranty coverage does not ordinarily include:

  • Labor;
  • Diagnostics;
  • Removal;
  • Reinstallation;
  • Travel;
  • Shipping;
  • Expedited shipping;
  • Plumbing modifications;
  • Electrical work;
  • Permits;
  • Lost profit;
  • Lost customers;
  • Customer reimbursement;
  • Water damage;
  • Property damage; or
  • Consequential expenses.

26. EXCLUSIVE REMEDY

To the maximum extent permitted by law, the purchaser’s exclusive remedy for a product that is defective, damaged, incorrectly shipped, or materially nonconforming is:

  1. Repair;
  2. Replacement of the affected component;
  3. Replacement of the affected product; or
  4. Another noncash remedy expressly authorized by Aquonyx or required under the applicable written warranty.

Aquonyx or the applicable manufacturer will determine the appropriate remedy after reviewing the claim.

NO CASH REFUND WILL BE PROVIDED UNLESS A NONWAIVABLE LAW EXPRESSLY REQUIRES A PAYMENT REVERSAL.

27. NO CONSEQUENTIAL REIMBURSEMENT

Aquonyx will not reimburse:

  • Lost profits;
  • Lost sales;
  • Lost customers;
  • Lost business;
  • Lost opportunities;
  • Employee time;
  • Contractor time;
  • Installation labor;
  • Removal labor;
  • Reinstallation labor;
  • Travel;
  • Lodging;
  • Customer discounts;
  • Customer settlements;
  • Dealer refunds to customers;
  • Financing costs;
  • Interest;
  • Penalties promised by the Dealer;
  • Business interruption; or
  • Other incidental or consequential costs,

except to the extent applicable law prohibits exclusion of a particular category of damages.

28. REQUIRED LEGAL EXCEPTIONS

Nothing in this Policy eliminates a right or remedy that applicable law expressly prohibits the parties from waiving.

Where a nonwaivable law requires Aquonyx to reverse, return, or correct a payment, Aquonyx will provide only the minimum remedy required by that law.

Any legally required exception:

  • Applies only to the affected transaction;
  • Does not modify the Policy for other transactions;
  • Does not create a general refund practice;
  • Does not waive Aquonyx’s defenses; and
  • Does not entitle the purchaser to additional compensation.

29. AQUONYX DISCRETION

Aquonyx may voluntarily provide a repair, replacement, accommodation, or other resolution in a particular situation.

Any accommodation:

  • Is discretionary;
  • Is not an admission of liability;
  • Does not modify this Policy;
  • Does not create a future obligation;
  • Does not establish a course of dealing; and
  • Does not waive Aquonyx’s rights.

Only an authorized Aquonyx manager may approve an exception in a signed or authenticated written communication.

Statements by a salesperson, support representative, manufacturer representative, contractor, or other person do not modify this Policy unless confirmed by an authorized Aquonyx manager.

30. POLICY ACCEPTANCE

Before completing a purchase, the purchaser should be required to affirmatively select an unchecked checkbox stating:

“I understand and agree that all sales are final. Aquonyx LLC does not provide voluntary refunds, returns, exchanges, prorated refunds, subscription refunds, buyer’s-remorse cancellations, or refunds because my customer cancels or financing is denied. Product claims are handled exclusively through the applicable repair-or-replacement warranty process, except where a nonwaivable law expressly requires otherwise. I have reviewed and agree to the Aquonyx No-Refund, Final-Sale, Return, and Cancellation Policy.”

The words “No-Refund, Final-Sale, Return, and Cancellation Policy” should link directly to the complete Policy.

The checkbox must not be prechecked.

31. ORDER-CONFIRMATION NOTICE

Every order confirmation and invoice should prominently state:

ALL SALES ARE FINAL. NO VOLUNTARY REFUNDS, RETURNS, EXCHANGES, OR CANCELLATIONS. PRODUCT ISSUES ARE SUBJECT TO THE APPLICABLE REPAIR-OR-REPLACEMENT WARRANTY PROCESS.

32. SUBSCRIPTION ACCEPTANCE

Before enrolling in a recurring subscription, the subscriber should be required to affirmatively select an unchecked checkbox stating:

“I authorize Aquonyx LLC and its payment processor to charge my selected payment method at the disclosed recurring price and billing interval until I cancel. I understand that cancellation stops future renewals only and that all prior and current subscription charges are final, nonrefundable, and not subject to proration.”

33. CUSTOMER SUPPORT

Questions regarding this Policy must be directed to:

34. GOVERNING TERMS

This Policy forms part of the Aquonyx Terms and Conditions.

Any dispute concerning this Policy is subject to the governing-law, venue, arbitration, limitation-of-liability, and dispute-resolution provisions contained in the Aquonyx Terms and Conditions.

35. SEVERABILITY

If any provision of this Policy is found invalid or unenforceable:

  • The provision will be enforced to the maximum extent permitted;
  • It may be narrowed to make it enforceable;
  • The remaining provisions will remain in full effect; and
  • The invalidity of one provision will not invalidate the remainder of the Policy.
